Introduction
Levelheaded Health, LLC ("Levelheaded," "we," or "us") owns and operates the website located at www.livelevelheaded.com (collectively, the "Platform"). Your access to and use of the Platform, any part thereof, or anything associated therewith, including its content ("Content"), any products or services provided through the Platform or otherwise by Levelheaded, communications and personalized recommendations based on your use of the Platform, and any affiliated website, software, or application owned or operated by Levelheaded (collectively, including the Platform and the Content, the "Service") are governed by these Terms of Use ("Terms of Use" or "Agreement").
In this Agreement, the terms "you" and "yours" refer to the person using the Service. The Service is intended solely for use by adults age eighteen (18) and older. Levelheaded does not knowingly permit use of the Service by, or collect information from, individuals under the age of eighteen (18). See "Limited Use and Availability; No Users Under 18" below.
Levelheaded is not a medical group and does not provide medical advice, care, and/or treatment. Levelheaded provides administrative, technology, and business support services that facilitate access to independent, physician-owned and operated medical practices. Clinical consultations, evaluations, diagnoses, prescriptions, and treatment made available through the Service are provided by physicians and other licensed healthcare professionals ("Providers") contracted with or employed by MDI Medical Group PC ("Medical Group"), an independent medical practice. There is no single provider of medical care called "Levelheaded." Levelheaded does not own or operate the Medical Group, does not employ or supervise Providers, and does not control the clinical judgment or medical decision-making exercised by the Medical Group or its Providers. By using the Service, you may be entering into a physician-patient relationship with the Medical Group and/or a Provider, but you are not entering into any such relationship with Levelheaded.
By using the Service, you acknowledge receipt of the Medical Group's Notice of Privacy Practices and agree that any healthcare services you receive from the Medical Group or its Providers through the Service are also subject to this Agreement, and that the Medical Group and its Providers are third-party beneficiaries of this Agreement.
Not for Emergencies
The Service is not intended for medical emergencies or urgent situations. If you believe you are experiencing an emergency, call 911 immediately.
You should seek emergency or follow-up care when recommended by a Provider or when otherwise needed, and should continue to consult with your primary care provider and other healthcare professionals as appropriate.
Notice Regarding Your Financial Responsibility for Services
Levelheaded and the Medical Group are not enrolled with, and do not participate in, any federal or state healthcare programs (i.e., Medicare, Medicaid) or commercial payers for the provision of any health care services or supplies. By choosing to use the Service, you are specifically choosing to obtain products and services on a cash, self-pay basis outside of any federal or state healthcare program or commercial payer, and you are solely responsible for the costs of any service or product provided to you.
By using the Service, you acknowledge and agree that (1) you are explicitly choosing to obtain products and services on a self-pay basis, and (2) neither you, Levelheaded, the Medical Group, nor any Provider will submit a claim for reimbursement to any federal or state healthcare program or commercial payer for the costs of services or products provided to you through the Service.
Subscription Products and Services — Medication Plan
The Levelheaded Medication Plan ("Medication Plan") is a recurring subscription tied to your prescribed medication. There is no separate membership and the recurring charge under this Section covers your prescribed medication together with the clinical services the Provider determines are needed to support that prescription (e.g., the initial evaluation, routine check-ins, and dosage-adjustment visits, as further described below). This Section does not include, and is not intended as a substitute for, comprehensive primary care or other medical, health, or wellness services unrelated to your longevity/wellness protocol.
You further understand and acknowledge that the Medication Plan is not an insurance plan and is not a substitute for health insurance coverage.
Medication Plan
If your Provider determines that a compounded GLP-1 or other prescription product is appropriate for you and writes a prescription, you will be presented with the option to fill the prescription through Levelheaded's designated pharmacy partner(s) pursuant to a Medication Plan. Your Medication Plan fee is charged on an automatically renewing basis at the interval and amount identified at checkout, and is the sole recurring fee charged to you for use of the Service in connection with that prescription — no separate membership fee applies.
Your Medication Plan will automatically renew at the applicable billing cadence until you or your Provider cancels or changes your prescription, or until you cancel as described below.
If you fill a prescription with a pharmacy other than Levelheaded's designated pharmacy partner(s), the Service will send the prescription to your selected pharmacy, but you will be responsible for picking up or otherwise obtaining the prescription product and paying that pharmacy directly. In that case, your recurring Medication Plan fee through the Service will end, since the fee is tied to fulfillment through Levelheaded's designated pharmacy partner(s).
Cancelling Your Medication Plan
Your Medication Plan will automatically renew at the applicable billing cadence unless you cancel at least two (2) full calendar days before your next billing and shipping date.
You can cancel your Medication Plan through your online account, by contacting us at contact@livelevelheaded.com. Cancellation takes effect at the end of the current billing period. You will not be eligible for a refund for any medication after it has been shipped. Cancelling your Medication Plan is deemed your direction to the pharmacy to cancel your prescription, and you will not receive any unshipped medication following your cancellation date.
Prescription Products
Certain products available through the Service require a valid prescription from a licensed Provider. You will not be able to obtain a prescription product unless you have completed a consultation with a Provider, the Provider has determined the product is appropriate for you, and the Provider has written a prescription. If a Provider determines a prescription product is appropriate and writes a prescription, you may fill it through Levelheaded's designated pharmacy partner(s) or at a pharmacy of your choice. See the Consent to Telehealth and the GLP-1 Medication-Specific Risks section of the Patient Consent for further disclosures regarding compounded GLP-1 medications.
Research and De-Identified Data
Levelheaded and/or the Medical Group may de-identify information you provide through the Service such that it is no longer considered protected health information or personally identifiable information under applicable law. Levelheaded and/or the Medical Group may aggregate, analyze, publish, or otherwise use such de-identified information for internal analytics, product development, clinical outcomes research, and related research or publication purposes, including research regarding dopamine dysregulation, craving, and behavioral outcomes associated with GLP-1 protocols. De-identified information may also be shared with or licensed to third parties, including research partners and affiliates, for these purposes. This Section does not authorize the use or disclosure of information in a manner that would re-identify you without your separate consent, except as required or permitted by law.
Limited Use and Availability; No Users Under 18
The Service is currently only available to individuals located in states in which Levelheaded offers the Service, who are at least eighteen (18) years of age. Levelheaded does not offer the Service to, and does not knowingly collect information from, individuals under the age of eighteen (18), and there is no minor-consent pathway of any kind under this Agreement. If we learn that we have collected information from an individual under eighteen (18), we will promptly delete it.
By using the Service, you represent and warrant that (a) you are at least eighteen (18) years of age; (b) when you use the Service to consult with a Provider, you are located in the same state as the shipping address on your account at the time of consultation; (c) you will comply with all applicable laws in accessing and using the Service; and (d) you will use the Service only for lawful purposes.
Consent to Use of Telehealth Services
In order to use the Service, you will be required to review and agree to a separate informed consent regarding the use of telehealth (the "Patient Consent"). You agree that Levelheaded is a third-party beneficiary of the Patient Consent and has the right to enforce it against you.
Privacy Policy; Protected Health Information
Levelheaded is not a "covered entity" under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). The Medical Group and/or its designated pharmacy partner(s) may be a "covered entity" or "business associate" under HIPAA, and Levelheaded may in some cases be a "business associate" of a Lab, Pharmacy, or Medical Group. It is important to remember that, while state-specific privacy laws may apply, HIPAA does not necessarily apply to an entity or person simply because there is health information involved. To the extent Levelheaded is deemed a "business associate," and solely in that role, Levelheaded may be subject to certain HIPAA provisions with respect to "protected health information" that you provide to the Medical Group or its pharmacy partner(s) ("PHI"). Any medical or health information subject to specific protections under applicable state law (together with PHI, "Protected Information") will be used and disclosed only in accordance with such laws.
The Medical Group has adopted a Notice of Privacy Practices describing how it uses and discloses Protected Information. By using the Service, you acknowledge receipt of that Notice.
Registration; User Accounts, Passwords, and Security
You must register and set up an account to access the Service. You agree to keep your account information accurate and current, to keep your username and password confidential, and to notify us immediately of any unauthorized use of your account by contacting us at contact@livelevelheaded.com. You are prohibited from violating, or attempting to violate, the security of the Service.
Use and Ownership of the Service
The Service and its Content are protected by copyright, trademark, and other intellectual property laws. Subject to this Agreement, Levelheaded grants you a limited, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only. All rights not expressly granted are reserved by Levelheaded. "Levelheaded" and related names, logos, and marks are trademarks of Levelheaded Health, LLC and may not be used without permission.
License to Information Submitted via the Service
Subject to any limitations on Protected Information under applicable law, any information you submit through the Service ("Submissions") will, to the extent permitted by law, be treated as non-confidential and non-proprietary, and you grant Levelheaded a fully paid, royalty-free, worldwide, sublicensable license to use such Submissions for purposes of operating and improving the Service.
Prohibited Use
You are prohibited from using the Service for any unlawful, fraudulent, or malicious purpose; to interfere with the Service's operation or other users' use of it; to gain unauthorized access to accounts or systems; to reverse engineer or decompile any portion of the Service; or to harvest data, transmit spam, or upload harmful code. Levelheaded reserves the right to suspend or terminate accounts for violations of this Section and may cooperate with law enforcement regarding suspected violations.
Third-Party Goods and Services
Parties other than Levelheaded, including the Medical Group, Providers, and pharmacy partners, provide services through the Service. Your interactions with these third parties, including payment and delivery, are solely between you and them. Levelheaded is not responsible for any loss or damage arising from your use of such Third-Party Goods and Services.
Terms of Sale; Payment
All payment transactions on or through the Service are processed through an online payment processing application provided by Levelheaded's third party vendors, Shopify and Stripe. Additional information about Shopify's and Stripe's respective privacy and security practices is available at shopify.com and stripe.com.
By submitting payment information, you represent and warrant that you are authorized to use the designated payment method, and you authorize Levelheaded to charge that payment method for the total amount of your order, including your recurring Medication Plan charges, taxes, and shipping and handling. You are responsible for all applicable sales, use, or other taxes due on your purchase, to the extent not collected by us at checkout.
Termination
Levelheaded may terminate your access to the Service at any time and for any reason, including for conduct violating this Agreement, non-payment, or if our agreement with the Medical Group or a pharmacy partner terminates. The provisions of this Agreement concerning security, prohibited activities, intellectual property, disclaimers, limitation of liability, arbitration, and indemnification survive termination.
Disclaimers
The Service is provided "as is" and "as available." Any access to or use of the Service is voluntary and at your sole risk. Levelheaded, the Medical Group, and the Providers disclaim all warranties, express or implied, including warranties of merchantability, non-infringement, and fitness for a particular purpose. Levelheaded does not warrant the accuracy, completeness, or timeliness of the Service, or that the Service will be uninterrupted or error-free.
Limitation of Liability
Levelheaded shall be liable only to the extent of actual damages incurred by you, not to exceed U.S. $500.
To the fullest extent permitted by law, in no event shall Levelheaded be liable for any incidental, indirect, special, exemplary, or consequential damages arising from your use of the Service. Any claim arising from your use of the Service must be brought within one (1) year of the event giving rise to such claim. Some jurisdictions do not allow these limitations, in which case the minimum permitted under applicable law will apply.
Indemnification
You agree to defend, indemnify, and hold Levelheaded, the Medical Group, and the Providers harmless from any claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your breach of this Agreement, or your violation of any law or third-party right.
Electronic Communications
By using the Service, you consent to receive communications from Levelheaded, the Medical Group, and Providers electronically, including by email and SMS. Message and data rates may apply. Reply STOP to opt out of SMS communications and HELP for help.
Copyright Infringement Notices
To submit a notice of copyright infringement, please provide the information required under 17 U.S.C. § 512(c) to Levelheaded's designated copyright agent at contact@livelevelheaded.com.
Governing Law
This Agreement is governed by the laws of the State of South Carolina, without regard to conflicts of law principles, except that the Federal Arbitration Act governs the arbitration provisions below. The Service is controlled and operated by Levelheaded from within the United States; individuals accessing the Service from other locations do so on their own initiative and are responsible for compliance with local law.
Arbitration Agreement
You and Levelheaded agree that any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. You and Levelheaded each waive the right to a jury trial and to participate in a class action or class-wide arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Before commencing arbitration, the party asserting a claim must send written notice to the other party describing the claim and the relief sought. Notice to Levelheaded should be sent to: Levelheaded Health, LLC at contact@livelevelheaded.com. If the dispute is not resolved within 30 days of notice, either party may commence arbitration. Arbitration will take place in South Carolina or another mutually agreed location. If this arbitration provision is found unenforceable, exclusive jurisdiction and venue for any claim will lie in the state or federal courts located in South Carolina and both parties waive any right to a jury trial in that event.
If you do not wish to be bound by this arbitration agreement, you may opt out within thirty (30) days of first becoming subject to it by sending your name, address, and a clear statement that you wish to opt out to contact@livelevelheaded.com. Opting out does not affect any other part of this Agreement.
Relationship of Parties; Assignment
Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship between you and Levelheaded, the Medical Group, or the Providers. You may not assign your rights under this Agreement. Levelheaded may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets. The Medical Group and Providers are third-party beneficiaries of this Agreement with respect to the provisions benefiting them.
Copyright and Trademarks
Copyright 2025 Levelheaded Health LLC. All rights reserved. All trademarks, logos, and service marks ("Marks") displayed on the Site are our property or the property of other third parties. You are not permitted to use these Marks without our prior written consent or the consent of such third party which may own the Marks.
Entire Agreement
This Agreement, together with the Patient Consent and Privacy Policy, constitutes the entire agreement between you and Levelheaded regarding your use of the Service. If any provision is held unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
